Quotes are honored with the presentation of an official quotation form. For custom orders, quotes are based upon our interpretation of the concept photos, sketches, or drawings submitted by the potential customer. Pricing is based on the initial quantity - if quantity increases or decreases, we reserve the right to adjust pricing accordingly.
Quotes are valid for 60 days from the date of issuance.
payment terms
Our terms are 50% deposit, with the balance due prior to shipping. A 1.5% per month interest charge will be assessed on all past due accounts. We reserve the right to cancel or change credit terms at our discretion and to request total payment at any time.
If legal action is required to collect past due accounts, clients will be responsible for all attorneys' fees and court costs.
order acknowledgements
Orders are subject to acceptance by DeNava under the terms and conditions as presented herein and the published quotation and acknowledgements. These terms and conditions will prevail when in conflict with the terms and conditions of the purchaser's purchase order conflict. All accepted orders will be acknowledged within 3 business days.
Purchaser is responsible for comparing this acknowledgement to their purchase order to see that all information regarding style, quantity, fabrics, finishes, prices, shipping information, etc. is correct. Orders will be produced as acknowledged unless the factory is notified immediately.
A minimum of 25% will be applied to all purchase orders cancelled after 2 weeks from the receipt of purchase order.
fob point
The FOB point for all manufactured products is Lenoir, North Carolina, 28645.
finishes
Characteristic differences in color and grain are a natural phenomenon and cannot be controlled. If there is a particular flitch that you are sourcing from, please let us know. Our samples are an indication of the color and character of the finish only.
COM/COL
The designer or specifier is considered an expert in the selection of COM/COL and assumes all rist and responsibility for selecting appropriate fabrics that comply with the codes of the local jurisdiction.
DeNava disclaims any responsibility for defects that may arise in the use of COM/COL. Purchaser agrees to defend and hold harmless DeNava against any claim (including expenses and reasonable attorney's fees) related to alleged defects in COM/COL.
Materials must be clearly marked with purchaser's name, project name, order acknowledgement number, item to be upholstered and the material name, color, and yardage. Unless otherwise noted, please ship all COM or COL to the following address:

packaging, freight, installation
We package our product in protective materials and crate it in accordance with our best practices. Installation may be requested, and will be quoted appropriately.
All freight, delivery, and installation charges are estimates at the time a quote is issued, and will be reconfirmed at the time the purchase order is received and an estimated ship date is established.
A warehouse fee of $1 per square foot per week will be charged for completed orders where the shipment is delayed at the purchaser's request past 30 days.
All sales are made FOB factory, and the title to the product passes to the purchaser upon delivery of the products to the carrier. All of our products are carefully inspected and securely packaged prior to the shipment and we do not accept any claims for freight, warehousing, or installation damage. Customers should carefully inspect all merchandise upon arrival and make claims for damage to the carrier immediately.
limited warranty
All products are sold with a limited warranty against defects in materials and workmanship for a period of one year from the date of shipment in normal contract use. This warranty does not extend to COM or COL, or to damage caused by shipping, misuse, abuse, or ordinary wear.
The warranty does not apply to any damage caused by shipping, misuse, abuse or ordinary wear and tear, and there is no warranty for loss of use, loss of revenue, or any customer supplied materials.
All residential products are sold with a limited warranty against defect in materials and workmanship for a period of one year from the date of shipment in normal use.
up-charges
Additional charges may apply to the following unless otherwise noted;
Contrasting welts, custom finishes, down & feather fill, dryfast foam, eight-way hand tie, expedited projects. Upcharges are not limited to these and may apply to other requests, decided on a case by case basis.
taxes
All taxes, fees, or duties which DeNava may be required to pay or collect as results of the sale, purchase, use, delivery, etc. shall be charged to the purchaser.
production lead times
Production lead times are based on DeNava's current production schedule at the time the quote is issued. At the time that the purchase order is received, we may adjust our lead times to reflect our current production capacity. While we will make every effort to meet shipping and delivery dates, orders are subject to delays due to causes beyond our control.
samples
Samples will be billed at 2.5 times production prices. They must be paid for and cannot be returned for credit. All DeNava custom sample designs are copyrighted by DeNava, all rights reserved.
Typically, DeNava produces prototype within 4-6 weeks from receipt of the purchase order, deposit, approved CAD drawings and finish control sample. If this lead-time needs to be shortened, please contact us.
dimensions
Quoted dimensions are overall measurements, reasonably approximate, and may vary slightly. We reserve the right to consider what is within tolerance. However, if exact sizes are critical, please contact us.
manufacturing components
If you are selecting a chaise, please note the direction (left vs. right) and include a sketch of the sitting direction.
In the case of case-goods with electrical componentry, DeNava provides components only, hard wiring is by others, and DeNava does not provide UL approved installation of electrical components.
fabric
Yardage requirements are quoted on 54" wide plain goods, unless COM specification is provided with a noted size and repeat. The quoted yardage is approximate. If a pattern matched fabric is selected past the time where the quote has been issued, it will be subject for revision.
DeNava reserves the right to apply the fabric in the most appropriate direction unless noted by the customer. To assure correct fabric application, please attach a swatch of the fabric to the purchase order, indicating pattern direction and the face of the fabric that should be used.
We do inspect fabrics for mill imperfections, but some issues are difficult to recognize. We cannot be responsible for fabric defects, color inaccuracies, or other flaws.
We do not assume responsibility for the flame retardancy of any COM.
To determine the square footage requirements for leather, multiply the quoted yardage on the quote by 18. All square footage requirements are based on usable footage. The shape of the hide, excessive holes, cuts, scars, or other unusable imperfections may make it necessary for us to request more leather after COL is received.
Hides must be rolled for shipment in a neat manner, avoiding creases and excess roll marks. Leather that is folded may be subject to rejection.
Excess COM or COL will not be returned unless requested on the purchase order. We will store excess fabric for 60 days - after that it will be disposed of at our discretion.
return for repair
No returns for commercial product are accepted without our written authorization.
DeNava can provide some onsite repair if necessary - please contact us for a quote. The cost of field repairs performed by non-DeNava persons will not be reimbursed unless we have previously authorized the work in writing, and we cannot guarantee work, nor be held responsible for work performed by outside companies.
intellectual
All DeNava collection products are copyrighted by DeNava. Orders for custom products are manufactured to the specifications delivered by designers, purchasers or their agents, and we specifically disclaim any responsibility to indemnify the above parties for claims alleging infringement or trademarks, copyrights, patents, or any other issues collectively described as intellectual property.
Our customer confirms that the designs they submit are original to them, and will defend and hold harmless DeNava for any claims (including expenses and reasonable attorney's fees) to the contrary.
